Part C — Terms of Use

This document serves to confirm the terms of use (‘Terms of Use’) in accordance with which MV Credit Partners LLP and MV Credit S.à.r.l, as appropriate (‘MV’) authorises the User (‘the User’) to use its logo (‘the Logo’).

Terms of Use:

  • If the User’s licence request is approved, MV will provide the User with the Logo.
  • The User shall be awarded a revocable licence for using the Logo on any marketing media as confirmed by MV or, if not specified, on literature, websites or all media (‘the Marketing Media’).
  • The User shall use and display the Logo solely on the Marketing Media as authorised by MV and provided for in these Terms of Use and shall not use the Logo for any other purpose save with the prior written approval of MV.
  • In the event that MV updates the Logo, MV shall notify the User and the User shall update its Marketing Media as soon as possible after receipt of the notification.
  • Save as expressly agreed by MV, the User shall not use the Logo together with any logos, trade marks or any other business signs of any other companies or in association with any other marks to form a new mark.
  • The User hereby acknowledges that the intellectual property rights in the Logo vests in MV and such rights shall remain vested in MV.
  • The User will indemnify and keep indemnified MV against any claims, proceedings, damages, losses, costs and other expenses (including but not limited to reasonable legal costs and expenses) suffered by MV as a result of breach of these Terms of Use, negligence, willful default or fraud of the User including as a result of any claim or infringement of any intellectual property rights of a third party, resulting from improper or unauthorised use of the Logo. This indemnity shall apply regardless of any other contract the User may have with MV.
  • The Logo shall not constitute any form of endorsement by MV of the User or any form of cooperation between MV and the User, and the User shall not suggest otherwise.
  • MV reserves the right to withdraw its authorisation in respect of the Logo at any time upon written notice to the User.
